1. Service Agreement

By engaging Omkar Process for digital marketing services, you agree to the following:

  • All services will be governed by a written service agreement or proposal
  • Project scope, deliverables, and timelines will be defined before work begins
  • Any changes to the scope may result in revised timelines and additional costs
  • Client must provide necessary access, content, and approvals in a timely manner

2. Services Offered

Omkar Process provides the following digital marketing services:

  • Search Engine Optimization (SEO)
  • Social Media Marketing (SMM)
  • Pay-Per-Click Advertising (PPC / Google Ads)
  • Website Design and Development
  • Content Marketing and Copywriting
  • Email Marketing and Automation
  • Brand Strategy and Identity Design
  • Analytics, Reporting, and Consultation

3. Payment Terms

  • Payments are due as specified in the service agreement (monthly retainer, project-based, or milestone-based)
  • All invoices will include applicable GST (GSTIN: 27BJKPS1788P2Z2)
  • We accept payments via bank transfer, UPI, and major payment methods
  • Late payments may incur interest charges as specified in the agreement
  • Services may be paused for overdue payments exceeding 15 days

4. Intellectual Property

  • All deliverables become the client's property upon full payment
  • Omkar Process retains the right to showcase work in portfolios (unless agreed otherwise)
  • Client warrants they have rights to all content provided to us
  • Third-party assets (stock images, fonts) are subject to their respective licenses

5. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, business strategies, and sensitive data shared during the engagement. This obligation survives the termination of services.

6. Results Disclaimer

While we employ industry best practices, digital marketing results depend on multiple factors beyond our control (algorithm changes, market conditions, competition). We do not guarantee specific rankings, traffic numbers, or conversion rates unless explicitly stated in writing.

7. Third-Party Platforms

Our services may involve third-party platforms (Google, Meta, LinkedIn, etc.). We are not responsible for changes in their policies, algorithms, or pricing that may affect campaign performance.

8. Termination

  • Either party may terminate services with 30 days written notice
  • Client is responsible for payment of all work completed until termination date
  • All client data and access credentials will be returned upon termination

9. Limitation of Liability

Omkar Process shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services. Our total liability shall not exceed the fees paid for the specific service in question.

10. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Palghar / Mumbai, Maharashtra.
